General Terms of Use
1. Identity of the provider
The services are provided by [TARONZO MARKETS B.V. / INSERT LEGAL ENTITY], trading under the names Taronzo Markets and Taronzo Terminal, with registered and visiting address at [INSERT REGISTERED AND VISITING ADDRESS], registered with the Dutch Chamber of Commerce under number [INSERT CHAMBER OF COMMERCE NUMBER], VAT number [INSERT VAT NUMBER]. 2. Definitions
“Account” means the personal access to Taronzo Terminal. “Service” means the website, application, dashboards, market information, general signals, backtests, strategy research and paper-trading features. “User” means the natural person using the Service. “Paper trading” means a simulation without a real transaction or transfer of assets. “External service” means a broker, exchange, data provider, payment provider or other third party.
3. Applicability and order of precedence
These terms apply to every use of the Service and every agreement with Taronzo. Mandatory consumer-protection rules prevail where applicable. Specific subscription terms prevail over general provisions to the extent they expressly differ.
4. Age and legal capacity
The User represents that they are at least 18 years old and legally capable of entering into an agreement. Taronzo may request reasonable verification and may block an account when age, identity, misuse or authority cannot reasonably be established.
5. Nature of the Service
In the current product phase, the Service is intended solely for information, analysis, education, strategy research, backtesting and paper trading. Taronzo does not receive, transmit or execute real orders, does not manage individual portfolios and does not hold money, cryptoassets, private keys or seed phrases.
6. No personal advice
Information and signals are general and are not tailored to the User’s personal financial situation, knowledge, experience, objectives, portfolio, risk tolerance or loss capacity. The Service must not be interpreted as a personal recommendation, suitability assessment, investment advice, tax advice or legal advice.
7. Independent decision-making
The User remains fully responsible for their own research, decisions and actions with an external broker or exchange. Before entering into a real transaction, the User must review the terms, risks, costs and regulatory status of the external provider.
8. Account registration and security
The User must provide accurate and current information, protect login credentials, use multi-factor authentication where available and immediately report suspected unauthorised access. Accounts are personal and may not be sold, shared or automatically transferred.
9. Prohibited use
The Service may not be used for market manipulation, wash trading, deception, fraud, money laundering, sanctions evasion, unauthorised access, scraping outside permitted APIs, reverse engineering, malware, overloading, circumvention of limits or infringement of third-party rights.
10. Market data and external sources
Prices, news, indicators and other data may be delayed, incomplete, inaccurate or temporarily unavailable. Taronzo may change data sources. The User may only use market data within applicable licence terms and may not republish it unless expressly permitted.
11. Paper trading and backtests
Simulations are hypothetical. They may depend on assumptions about spreads, slippage, liquidity, fees, funding, latency, order fills and data quality. Actual results may differ materially. Historical and simulated performance does not guarantee future results.
12. AI and automated output
The Service may use AI or algorithms for summaries, classifications, signals or explanations. Output may be inaccurate, outdated or incomplete and must be independently checked by the User. Where required, it will be made clear that the User is interacting with AI or receiving AI-assisted output.
13. Availability and changes
Taronzo aims to provide a secure and usable Service but does not guarantee uninterrupted availability. Maintenance, outages, data issues, security measures or supplier changes may limit features. Material adverse changes to a paid subscription will be announced reasonably in advance unless urgency or law prevents this.
14. Intellectual property
All rights in the software, design, trade names, logos, documentation, models, compilations and proprietary content belong to Taronzo or its licensors. The User receives only a personal, revocable, non-exclusive and non-transferable right to use the Service for the duration of the agreement.
15. User content and feedback
The User retains rights in content they provide. The User grants Taronzo the limited rights necessary to provide, secure and support the Service. Taronzo may use feedback without compensation, provided confidential personal information is not made public.
16. External services
Links and integrations with external services do not mean that Taronzo guarantees their performance, security or regulatory status. External services are governed by their own agreements. Outages, losses and decisions by third parties fall outside Taronzo’s actual control.
17. Suspension and termination
Taronzo may temporarily restrict access in the event of security risk, fraud, prohibited use, payment arrears or a legal obligation. Where reasonable, the User will receive an explanation and an opportunity to remedy the issue. Serious violations, misuse or immediate risk may result in immediate termination.
18. Liability
Taronzo is liable for damage to the extent that the damage directly results from an attributable failure and liability cannot lawfully be excluded. To the extent permitted by law, Taronzo is not liable for trading losses, missed opportunities, indirect damage or external services. Nothing limits liability for intent, deliberate recklessness, death or personal injury where such limitation is prohibited.
19. Force majeure
Taronzo is not liable for delay or outage caused by circumstances outside its reasonable control, including large-scale internet or power outages, government measures, war, cyberattacks on third parties or outages at data providers or exchanges, unless mandatory law provides otherwise.
20. Privacy
Personal data is processed in accordance with the current Privacy Notice. Security and audit logs may be retained for security, evidence, fraud prevention and legal obligations.
21. Complaints
Complaints can be submitted through [INSERT SUPPORT EMAIL ADDRESS]. The complaints procedure published on the website forms part of the Service. The User retains all rights to contact a competent regulator, dispute-resolution body or court.
22. Changes to these terms
Taronzo may amend these terms due to legislation, security, product changes or business operations. Material changes will be announced in advance. If a change materially disadvantages a paid Service, a consumer may terminate without charge before the change takes effect where required by mandatory law.
23. Governing law and disputes
Dutch law applies. Mandatory consumer protection in the country where the consumer habitually resides remains applicable. Disputes are submitted to the court that has jurisdiction under applicable law.
Subscription Terms
1. Offer and price
Before purchase, checkout will show the selected plan, features, billing period, total price including applicable VAT, any trial period, renewal terms and cancellation method. Only the displayed and confirmed price applies.
2. Formation of the agreement
The agreement is formed after the User activates the order button that clearly creates a payment obligation and Taronzo electronically confirms the order. Taronzo provides the contractual information on a durable medium, for example by email or downloadable document.
3. Payment
Payment is processed through the stated payment provider. The User authorises recurring charges only where explicitly selected. If a payment fails, Taronzo may retry, provide a reasonable payment period and then restrict paid features.
4. Trial period
If a trial is offered, its duration, conversion to a paid subscription and cancellation method will be stated. Where legally or commercially appropriate, Taronzo may send a reminder before the trial converts. Abuse of successive trial accounts is prohibited.
5. Renewal and cancellation
The subscription renews only as clearly disclosed before purchase. The User can cancel through the account or an equivalent simple channel. Cancellation takes effect no later than the end of the current billing period unless a more favourable arrangement is offered.
6. Price changes
Price changes do not apply retroactively. Taronzo will announce an increase for an ongoing subscription in advance and will allow the consumer to cancel before the increase takes effect where mandatory law or reasonableness requires this.
7. Refunds
Refunds are issued where legally required, following a valid withdrawal or where Taronzo confirms a discretionary refund. A refund will not be refused where mandatory consumer law requires reimbursement.
8. Downgrade and end of access
After a paid period ends, access to paid features may stop. Where technically available, Taronzo will provide a reasonable opportunity to retrieve exportable user data unless continued retention is required by law or security needs.
Right of Withdrawal
Withdrawal right
As a consumer, you generally have the right to withdraw from an online agreement within fourteen days without giving a reason, unless a statutory exception applies. The period starts on the day the agreement is concluded. To withdraw, use the digital withdrawal function in the website/app or send an unambiguous statement to [INSERT LEGAL/PRIVACY EMAIL ADDRESS].
Service starting during the withdrawal period
If you expressly request that the Service begins during the withdrawal period and later withdraw, a proportionate amount may be payable for the part already supplied to the extent permitted by law and provided you were properly informed in advance. The withdrawal right expires only when all applicable statutory conditions are satisfied and your express prior consent and acknowledgement have been correctly recorded.
Reimbursement
Following a valid withdrawal, Taronzo will reimburse amounts received without undue delay and within the statutory deadline using the same payment method, unless you expressly agree to another cost-free method.
